COMMERCIAL SPACE PRICE LIST & CONTRACT June 13th & 14th, 2009 The Texas Showdown is the newest addition to the Heat Wave Inc. and Texas Heat Wave family. This event supplies an opportunity for businesses to greet the public on a large scale. Our advertising campaign will be very aggressive this year. There will be advertising on several major radio stations in the Houston area to bring spectators to the show. We are expecting over 15,000 spectators and over 400 show entries to attend this years event. We all know how expensive advertising can be today and this opportunity will allow you to advertise in not just one, but many areas. Power: Power is available for an additional $75.00 charge per plug. If you need power, please ask when choosing booth location. We do not guarantee that you will have power and do not have extra cords. Passes: Exhibitor passes will be given out based on the size of booth space or what is listed on the contract agreement. Up to 5 additional weekend passes may be purchased. Booth location: You may decide your booth location on a first come, first serve basis. Booths are sold quickly at these events, so please contact us as soon as possible to ensure the best possible location for your Company. However, a deposit must be received before we can hold a space. Management may need to adjust your booth location without notification if conflict occurs. Booth Cancellation: If your company wishes to cancel their contract (booth space) the refund would be based on the cancellation date: 50% refund-90 Days prior to show date 25% refund-60 Days prior to show date 0% refund-30 days or less to show date
· Liability: In consideration of the acceptance of the right to participate vendors, sponsors, entrants, participants, spectators, by the execution of this Vendor Contract, release and discharge the Heat Wave Inc dba Texas Heat Wave or anyone associated with Heat Wave Inc. dba Texas Heat Wave from any and all know and unknown damages, damaged merchandise and/or property, injury that may occur to you, your staff, or volunteers that may be working for you, losses, judgments and/or claims from any cause whatsoever that may be suffered by any vendor, sponsors entrants, participants, and spectators to his/her person or property. Further, each vendor, sponsor, entrant participants, spectators expressly agrees to indemnify all of the foregoing entries, firms, persons, bodies, and sponsors of and from all liability resulting from the conduct of vendor, sponsor entrants or any participant assisting or cooperating with vendor, sponsor entrant, under the direction or control of Vendor/ Sponsors entrant. · Damages: Full or partial damage to tents, generators or other property due to negligence of the sponsor/vendor, his or her agents or employees, or damage to the property because of vandalism, malicious mischief or theft shall cause the sponsor/vendor to be liable for items missing or such damages suffered. · Heat Wave reserves the right to restrict vendors/sponsors, entrants, participants, spectators from any and all Heat Wave activities. Entrants are subject to eviction from the premises if behavior is deemed objectionable by the event management because of environmental damage caused by the vendor, sponsors entrant participants, spectators by his/her person or vehicle and any other reason, or if the vendor, sponsors, participants, spectators entrants appearance, or that of his/her vehicle, or his/her conduct is considered to be unbecoming to the image the show projects. This reservation includes persons, things, conduct, printed materials, or any act or item considered to be of poor character and damaging the event and well being of its participants by the management. In the event of any eviction or restriction, Heat Wave is not liable to refund any entry fees or any other fees except at its own discretion. · In the event Heat Wave Inc dba Texas Heat Wave, or its representatives (seller) finds it necessary to sue in the court of law in order to enforce collection of moneys stipulated herein or otherwise to enforce the terms of this agreement Sponsor / Vendor (Buyer) agrees to pay reasonable attorney fees pursuant to such actions.
Booth Agreement: 50% of the booth fee and tent rental is required to reserve a tent and space. All fees must be paid in full three week prior to the event. Fax 512-670-1062 There will be no sharing/renting/donating of booth space to other vendors. There will be no soliciting from any company/individual that did not officially purchase vending space. Any person(s) doing so, will be escorted from the premises. I have read the above agreement and understand that there will be NO REFUNDS. I also understand that Heat Wave Inc. dba Texas Heat Wave is not responsible for any lost, stolen or damaged merchandise or property or from any injury that may occur to you your staff or volunteers that may be working for you. You will receive weekend passes based on the size of your booth. If you need additional passes, you may purchase up to 5 more at half price.
